These Terms & Conditions are designed to ensure the safe, lawful, and professional operation of The Drink Show. They reflect standard exhibition industry practices and incorporate learnings from prior Events to protect Exhibitors, attendees, the Organiser, and the Venue. The objective is to create a clear, fair, and transparent framework that supports a premium Event experience for all participants.

1. Definitions

Organiser means The Drink Show and its officers, employees, contractors, and authorised representatives.

Exhibitor means the booking entity and its officers, employees, contractors, agents, and representatives.

Event means The Drink Show conducted at Newcastle Showground Exhibition Centre on 23rd March 2026, including any associated sessions or related Event activities.

2. Binding Agreement

2.1 Submission of a booking form, acceptance of an invoice, payment of any fees, or participation in the Event constitutes a lawful, valid, and legally binding agreement between the Exhibitor and the Organiser.

2.2 The Exhibitor acknowledges that acceptance of these Terms & Conditions is necessary for participation in the Event and for the safe, lawful, and orderly conduct of Event operations.

2.3 These Terms & Conditions prevail over any Exhibitor terms, conditions, or documentation unless expressly agreed in writing by the Organiser.

2.4 The Exhibitor warrants that they have read and understood these Terms & Conditions prior to booking or participation.

3. Eligibility to Exhibit

3.1 Exhibitors warrant that they:

✔ Hold all required licences, permits, and approvals
✔ Comply with all applicable laws and regulations
✔ Maintain appropriate insurance coverage
✔ Are authorised to promote and sell their products

3.2 Exhibitor Categories

The Event operates within a capacity-limited and category-balanced format. Exhibitors may be accepted within categories including but not limited to:

• Wineries
• Distilleries
• Breweries
• RTD / Ready-to-Drink brands
• Non-alcoholic beverage producers
• Modern & Emerging Drinks
• Barware & Accessories • Gourmet / artisan food brands

3.3 Curation & Suitability

The Organiser reserves the right to determine:

✔ Category balance
✔ Brand suitability
✔ Product alignment
✔ Overall Event mix

3.4 The Organiser may refuse, decline, or cancel any booking at its discretion, including where:

🚫 Products conflict with Event positioning
🚫 Category capacity is reached
🚫 Compliance requirements are not satisfied
🚫 Brand alignment is deemed unsuitable

3.5 Ongoing Compliance

Eligibility is ongoing. Exhibitors must continue to meet all licensing, legal, and insurance requirements.

3.6 The Organiser’s decision regarding exhibitor acceptance or eligibility is final.

4. Booking & Payment

4.1 Booth space is confirmed only upon:

✔ Written acceptance by the Organiser
✔ Receipt of payment (full payment or approved deposit)

4.2 Acceptance of Terms

Submission of a booking form, acceptance of an invoice, or payment of any booth fees constitutes full acceptance of these Terms & Conditions.

4.3 Failure to pay by the invoice due date may result in:

🚫 Cancellation of booking
🚫 Reallocation or resale of booth space

Without liability.

4.4 Early-release or discounted rates are:

• Limited
• Non-transferable
• Subject to withdrawal

5. Deposit & Payment Default

5.1 Where a deposit is accepted:

✔ The deposit secures booth space
✔ Deposits are non-refundable
✔ The balance is payable by the invoice due date

5.2 Deposits are strictly non-refundable except where required by law.

5.3 Age of Booking / Payment

All booth space bookings and associated payments that are three (3) months or older from the original invoice date are strictly non-refundable.

5.4 Failure to pay the balance by the due date constitutes payment default.

5.5 In the event of default, the Organiser reserves the right to:

🚫 Cancel the booking
🚫 Reallocate or resell the booth space
🚫 Retain monies paid
🚫 Refuse Event access
🚫 Deny future participation

6. Exhibitor Withdrawal

6.1 Any Exhibitor wishing to withdraw must notify the Organiser in writing.

6.2 All bookings remain firm and binding.

6.3 Withdrawal does not release the Exhibitor from any:

✔ Payment obligations
✔ Contractual responsibilities

6.4 The Organiser reserves the right to:

✔ Reallocate
✔ Resell

Cancelled booth space without liability.

6.5 Refund eligibility is governed strictly by Clause 7 (Refund Policy).

6.6 Credits toward future events may be considered at the Organiser’s sole discretion and are not guaranteed.

7. Refund Policy

7.1 All booth fees, deposits, and payments are strictly non-refundable, including in the event of:

🚫 Cancellation
🚫 Withdrawal
🚫 Non-attendance
🚫 Change of circumstances

Except where:

✔ The Event is cancelled by the Organiser
✔ Refund is required by law

7.2 Refunds will not be granted due to:

🚫 Attendance levels
🚫 Foot traffic
🚫 Sales performance
🚫 ROI expectations
🚫 Market conditions

7.3 No refunds or credits apply in cases of:

🚫 Partial participation
🚫 Late arrival
🚫 Early departure
🚫 Unused booth space

7.4 To the fullest extent permitted by law, the Organiser is under no obligation to provide refunds, credits, or compensation other than those required by law.

8. Event Modifications

8.1 The Organiser reserves the right to reasonably modify the Event where necessary, including but not limited to adjustments to:

• Event date
• Venue
• Floorplan
• Event format
• Session structure
• Operating hours

8.2 Such modifications may be required due to operational, safety, regulatory, commercial, or logistical considerations.

8.3 Event Integrity

The Exhibitor acknowledges that any Event modifications are undertaken in good faith and in the best interests of:

✔ The Event
✔ Attendee experience
✔ Venue compliance
✔ Safety requirements

8.4 Modifications do not constitute grounds for:

🚫 Refund
🚫 Credit
🚫 Compensation
🚫 Damages

Provided the Event proceeds.

8.5 The Organiser will use reasonable efforts to communicate material changes to Exhibitors.

9. Space Allocation

9.1 Booth placement and final stand positioning are at the sole discretion of the Organiser.

9.2 The Organiser reserves the right to modify the Event floorplan where reasonably necessary for operational, safety, or commercial considerations.

9.3 Exhibitors acknowledge that floorplans, layouts, and stand locations may change prior to or during the Event.

Such changes do not constitute grounds for refund, credit, or compensation.

9.4 No Exclusivity

No category, product, or territorial exclusivity applies unless expressly agreed in writing by the Organiser.

9.5 Stand Upgrades & Relocations

The Organiser may, at its discretion, offer:

✔ Stand upgrades
✔ Alternative booth positions
✔ Location improvements

Subject to availability.

9.6 Upgrade Eligibility

Upgrade opportunities, where offered, may be influenced by factors including but not limited to:

• Booking date
• Early confirmation
• Sponsorship arrangements
• Event logistics

9.7 Timing of Upgrades

Exhibitors acknowledge that stand upgrades or relocations may be offered pending availability and relative to when the Exhibitor’s booking was confirmed.

9.8 The Organiser reserves the right to make final determinations regarding booth allocation and upgrade priority.

10. Exhibitor Responsibilities

10.1 Exhibitors must:

✔ Remain within their allocated booth space
✔ Comply with these Terms & Conditions
✔ Follow all reasonable directions issued by the Organiser and/or Venue
✔ Maintain professional and respectful conduct at all times

10.2 Staff & Representatives

The Exhibitor is responsible for the conduct and compliance of:

✔ Staff
✔ Contractors
✔ Agents
✔ Representatives

10.3 Compliance Obligations

Exhibitors must comply with:

✔ Applicable laws and regulations
✔ Venue rules
✔ Safety requirements
✔ Liquor & RSA obligations (where applicable)

10.4 Professional Conduct

Exhibitors must conduct themselves in a manner that is:

✔ Professional
✔ Respectful
✔ Safe
✔ Consistent with the Event’s standards

10.5 Prohibited Behaviour

Exhibitors must not engage in:

🚫 Unsafe practices
🚫 Aggressive, misleading, or inappropriate sales tactics
🚫 Conduct causing disruption to guests or other exhibitors
🚫 Activity damaging the reputation of the Event
🚫 Obstruction of aisles or neighbouring stands

10.6 Cooperation Requirement

Exhibitors must promptly comply with any reasonable request from the Organiser or Venue relating to:

✔ Safety
✔ Compliance
✔ Operational matters
✔ Event presentation

10.7 Reputational Protection

The Exhibitor acknowledges that the Organiser may take corrective action where Exhibitor conduct or presentation may negatively impact:

• Guest experience
• Event reputation
• Venue compliance
• Safety standards

10.8 Failure to comply may result in enforcement under Clause 25 (Conduct & Removal).

11. Stand Presentation & Safety

11.1 Exhibitor stands must be safe, stable, and compliant with all venue and safety regulations.

11.2 All displays, structures, and equipment must be professionally presented and maintained in a clean, orderly, and visually appropriate condition throughout the Event.

11.3 Presentation Standards

The Exhibitor acknowledges that stand presentation is an important component of the Event’s overall visitor experience and media representation.

The Organiser reserves the right to request reasonable improvements where a stand is deemed unsafe, incomplete, or visually unsuitable.

11.4 Electrical Equipment Compliance

Any Exhibitor equipment requiring connection to a power source must:

✔ Be electrically safe
✔ Comply with Australian Standards
✔ Display a valid and current Test & Tag certification label

11.5 The Organiser and/or Venue reserve the right to:

🚫 Refuse power connection
🚫 Disconnect non-compliant equipment
🚫 Require removal of unsafe items

11.6 Media Cloth / Screen Option

To assist Exhibitors in achieving a premium visual standard, the Organiser may offer optional stand enhancement items, including:

✔ Media cloth coverings
✔ Display screens
✔ Presentation upgrades

Subject to availability and additional cost.

11.7 Such items:

• Are optional unless specified
• Must be pre-ordered where required
• Will be invoiced separately

11.8 Failure to maintain safe and appropriate stand presentation may result in corrective direction by the Organiser.

12. Setup & Pack Down

12.1 Exhibitors must adhere strictly to the official Event schedule, including:

• Bump-in times
• Setup periods
• Pack-down times
• Bump-out deadlines

12.2 Exhibitors must ensure their stand is fully installed, staffed, and operational prior to Event opening.

12.3 Early pack-down is not permitted without prior written approval from the Organiser.

12.4 The Exhibitor is responsible for removing all materials, stock, and equipment within the allocated bump-out period.

12.5 Any property remaining after the designated bump-out period may be removed at the Exhibitor’s sole risk and expense.

12.6 To the fullest extent permitted by law, the Organiser accepts no responsibility for loss, theft, or damage to items left before, during, or after the Event.

13. Liquor, Sampling & Tasting Format

13.1 Event Nature

The Event is conducted as a structured tasting and product sampling experience. It is not a full-service bar, nor an unlimited-consumption festival.

13.2 Sample Service Only

Exhibitors may provide alcoholic beverages as controlled tasting samples only.
🚫 Full-serve drinks are not permitted unless expressly authorised in writing by the Organiser and permitted under the applicable licence conditions.

13.3 Compliance With Liquor Laws & Licence Conditions

All sampling and alcohol service must comply with:

✔ all applicable liquor laws and regulations
✔ Responsible Service of Alcohol (RSA) requirements
✔ all licence conditions applicable to the Event and Venue
✔ any reasonable direction issued by the Organiser and/or Venue to protect licence compliance and guest safety.

13.4 Sample Sizes & Responsible Pouring

Exhibitors must serve small sample pours only and in moderation at all times.

The use of a voucher does not entitle a patron to a larger serve, full drink, or repeated pour.

All sample service must remain consistent with RSA obligations, licence conditions, and any directions of the Organiser or Venue.

Exhibitors must refuse service where required by law or where a guest appears intoxicated.

13.5 Organiser-Controlled Voucher System

The Event may operate an organiser-controlled voucher system for selected premium, limited, or higher-value products.

Vouchers, where used, are issued and sold by the Organiser only.

Exhibitors must not create, sell, or accept any separate token, voucher, or tasting currency not approved by the Organiser.

The use of vouchers does not change the Event’s nature as a structured tasting and product sampling experience and does not authorise full-serve drinks.

13.6 Limitations on Voucher Use

Exhibitors may choose to use official Event vouchers for selected premium, limited, or high-value products.

Where vouchers are used, the majority of the exhibitor’s range must remain available as standard tastings.

As a general guideline, at least 80% of products offered at the stand should be available as standard tastings, with vouchers used only for selected premium pours.

Unless approved in writing by the Organiser, Exhibitors must not require vouchers for their entire range.

The Organiser reserves the right to review, restrict, or modify voucher use to maintain consistency across the Event.

13.7 Voucher Redemption

Where the Organiser operates an official Event voucher system:

✔ Collected vouchers must be submitted in the manner and by the deadline notified by the Organiser
✔ Valid vouchers will be redeemed at the rate advised in Exhibitor communications
✔ The Organiser may reject damaged, altered, counterfeit, duplicate, or unauthorised vouchers

13.8 Tasting Notices & Signage

Where vouchers are used, Exhibitors must display the official Event tasting notice supplied or approved by the Organiser indicating whether:

• standard tastings are available
• selected products require vouchers

Failure to display required signage may result in direction from the Organiser to modify tasting service.

13.9 Minors & Intoxication

Exhibitors must not serve alcohol to:

🚫 any person under 18 years of age
🚫 any person who is intoxicated

Exhibitors must comply with any ID checking requirements and venue procedures.

13.10 Enforcement & Compliance

Where the Organiser and/or Venue reasonably believes an Exhibitor is not complying with liquor laws, RSA obligations, licence conditions, or Event requirements, the Organiser and/or Venue may take any action deemed reasonably necessary, including:

🚫 directing the Exhibitor to immediately cease alcohol service
🚫 restricting or suspending sampling activities
🚫 removal of non-compliant staff
🚫 removal of the Exhibitor from the Event

Such enforcement action may be taken without prior notice where required for safety or licence protection.

13.11 No Refund

Where enforcement action is taken under this Clause, no refund, credit, or compensation will be payable, and the Exhibitor remains liable for all outstanding monies and obligations under these Terms & Conditions.

14. Responsible Service of Alcohol (RSA)

14.1 Exhibitors supplying, serving, or handling alcohol must comply with all applicable liquor laws and Responsible Service of Alcohol (RSA) requirements.

14.2 RSA Certification Requirement

Any Exhibitor staff involved in the service, supply, or handling of alcohol must:

✔ Hold a valid NSW RSA competency card
✔ Provide proof of RSA certification upon request
✔ Comply with RSA obligations at all times

14.3 Service Obligations

Exhibitors must ensure alcohol is served responsibly, including:

✔ Adherence to organiser-approved tasting formats and small sample serves
✔ No full-serve drinks unless expressly authorised in writing by the Organiser and permitted by licence conditions
✔ No service to minors
✔ No service to intoxicated persons
✔ Compliance with all licence conditions

14.4 Venue & Licence Recognition

The Exhibitor acknowledges that:

✔ The liquor licence for the Event is held in conjunction with the Venue
✔ Compliance with licence conditions is mandatory

Exhibitors agree to recognise and respect the Venue’s authority and to comply with any reasonable directions or requests issued by the Venue or Organiser to ensure a safe, lawful, and successful Event.

14.5 Exhibitor Responsibility

The Exhibitor is solely responsible for:

• RSA compliance of staff
• Alcohol service practices
• Breaches of liquor laws
• Any penalties arising

14.6 Organiser & Venue Authority

The Organiser and/or Venue reserve the right to:

✔ Monitor alcohol service
✔ Direct cessation of service
✔ Enforce compliance measures

14.7 Non-Compliance

14.7.1 Failure by the Exhibitor, its staff, contractors, or representatives to comply with:

• Responsible Service of Alcohol (RSA) requirements
• Liquor licence conditions
• Applicable laws or regulations
• Organiser or Venue directions

May result in enforcement action.

14.7.2 Enforcement Measures

The Organiser and/or Venue reserve the right to take any action deemed reasonably necessary, including:

🚫 Immediate suspension of alcohol service
🚫 Restriction of sampling activities
🚫 Removal of non-compliant staff
🚫 Removal of the Exhibitor from the Event

14.7.3 Such action may be taken without prior notice where reasonably required for safety, legal compliance, or licence protection.

14.7.4 Financial Consequences

Where enforcement action is taken:

🚫 No refund
🚫 No credit
🚫 No compensation

Shall be payable.

14.7.5 Continuing Obligations

The Exhibitor remains liable for:

✔ Outstanding payments
✔ Damage caused
✔ Costs arising from the breach

14.7.6 The Organiser’s decision regarding non-compliance is final.

15. Retail Sales

15.1 Exhibitors are solely responsible for all retail sales conducted at their stand.

15.2 Transactions & POS

Exhibitors must supply and operate their own:

✔ Point of Sale (POS) systems
✔ Payment facilities
✔ Transaction processing

The Organiser is not responsible for processing or facilitating Exhibitor sales.

15.3 Cash Handling

Exhibitors are fully responsible for:

✔ Cash security
✔ Electronic payments
✔ Transaction accuracy
✔ Fraud prevention

15.4 Legal & Tax Obligations

Exhibitors are responsible for complying with:

✔ Pricing laws
✔ Taxation obligations
✔ Responsible retail practices
✔ Any licensing requirements

15.5 No Sales Guarantee

The Organiser makes no representation or guarantee regarding:

🚫 Sales volumes
🚫 Revenue outcomes
🚫 Customer conversions

15.6 Commercial Risk

All retail activity is undertaken at the Exhibitor’s own commercial risk.

15.7 No Liability for Sales Issues

The Organiser accepts no liability for:

🚫 Failed transactions
🚫 POS malfunctions
🚫 Payment disputes
🚫 Customer claims relating to Exhibitor sales

16. No Attendance Guarantee

16.1 The Organiser does not guarantee:

🚫 Attendee numbers
🚫 Foot traffic
🚫 Audience composition
🚫 Sales outcomes

16.2 Any attendance projections, estimates, or historical references are indicative only and do not form part of this Agreement.

16.3 Marketing & Promotion Acknowledgement

The Exhibitor acknowledges that:

✔ The Organiser undertakes extensive and proactive marketing and promotional activities
✔ The Event Venue may also conduct independent marketing initiatives

However, final attendance levels remain subject to factors beyond the Organiser’s control.

16.4 Attendance and visitor engagement may be influenced by variables including but not limited to:

• Market conditions
• Competing events
• Seasonal factors
• Consumer behaviour
• External circumstances

16.5 Variations in attendance do not constitute grounds for:

🚫 Refund
🚫 Credit
🚫 Compensation
🚫 Dispute

17. No ROI or Sales Guarantee

17.1 The Organiser makes no representation, warranty, or guarantee regarding:

🚫 Sales performance
🚫 Revenue generation
🚫 Leads generated
🚫 Return on investment (ROI)
🚫 Brand exposure outcomes

17.2 Commercial Outcomes

Commercial outcomes vary and are influenced by numerous factors beyond the Organiser’s control, including but not limited to:

• Market conditions
• Attendee behaviour
• Product appeal
• Pricing strategies
• Exhibitor engagement
• Exhibitor-led promotion

17.3 Risk Acknowledgement

The Exhibitor acknowledges that participation is undertaken entirely at the Exhibitor’s own commercial risk.

17.4 No Refund or Compensation

Lack of sales, leads, or anticipated ROI does not constitute grounds for:

🚫 Refund
🚫 Credit
🚫 Compensation
🚫 Damages

18. Mandatory Exhibitor Promotion

18.1 The Exhibitor agrees that active promotion of their participation in the Event is a mandatory and non-negotiable condition of exhibiting.

18.2 Exhibitors are expected to promote their involvement through available marketing channels, including where applicable:

✔ Social media
✔ Email databases
✔ Websites
✔ Customer communications

18.3 Collective Success Acknowledgement

The Exhibitor acknowledges that Event success, attendance, and commercial outcomes are influenced by collective Exhibitor engagement and promotion, and are not solely the responsibility of the Organiser.

18.4 ROI & Commercial Outcomes

The Exhibitor agrees that return on investment (ROI), sales performance, and business outcomes are impacted by multiple factors, including Exhibitor-led marketing efforts.

18.5 Non-Attribution of Responsibility

Failure by an Exhibitor to reasonably promote the Event does not entitle the Exhibitor to claim poor attendance, reduced foot traffic, or unsatisfactory commercial performance.

18.6 The Organiser reserves the right to prioritise future participation opportunities for Exhibitors who actively support Event promotion.

19. Prize Donation Clause

19.1 The Exhibitor acknowledges that provision of a promotional product donation is a mandatory and non-negotiable condition of participation in the Event.

19.2 Binding Requirement

The Exhibitor agrees that the donation obligation forms part of the Binding Agreement (Clause 2) and is a condition of exhibiting.

Failure to comply constitutes a breach of these Terms & Conditions.

19.3 Donation Purpose

Donations support Event activities including but not limited to:

• Prize giveaways
• Audience promotions
• Marketing activations
• Fancy dress competitions

19.4 Delivery of Donation

The Exhibitor must deliver the donated item(s) to the Organiser’s Promotions Table at Exhibitor Check-In / Bump-In.

19.5 Failure to Provide Donation

Where an Exhibitor fails to supply a donation, the Organiser reserves the right to:

🚫 Restrict promotional participation
🚫 Withhold Exhibitor benefits
🚫 Remove Exhibitor from promotional activities

Without refund or compensation.

19.6 Use of Donated Items

All donated products:

• Are non-returnable
• Will be used at the Organiser’s discretion
• Provide no guarantee of specific exposure

19.7 The Exhibitor releases the Organiser from any claims arising from the lawful use of donated items.

20. Insurance

20.1 The Exhibitor must hold and maintain a valid Public Liability Insurance policy with minimum coverage of AUD $10 million (or such higher amount as required by the Venue).

20.2 The policy must be:

✔ Issued by a reputable insurer
✔ Valid for the Event dates
✔ Covering the Exhibitor’s participation and activities

20.3 The Exhibitor must provide proof of insurance upon request by the Organiser.

Failure to provide proof may result in:

🚫 Refusal of bump-in access
🚫 Cancellation of participation

Without refund.

20.4 The Exhibitor is responsible for ensuring their insurance covers:

• Products and tastings
• Staff and contractors
• Property and equipment
• Third-party injury or damage

20.5 The Organiser’s insurance policies do not cover:

🚫 Exhibitor property
🚫 Exhibitor staff
🚫 Exhibitor products
🚫 Exhibitor liabilities

20.6 Participation without appropriate insurance is entirely at the Exhibitor’s own risk.

21. Liability & Indemnity

21.1 Participation is undertaken entirely at the Exhibitor’s own risk.

21.2 The Exhibitor indemnifies and holds harmless the Organiser, the Venue, and their respective officers, employees, contractors, and agents against any claims, losses, damages, liabilities, costs, or expenses arising from:

• The Exhibitor’s participation
• The Exhibitor’s products or services
• Acts or omissions of the Exhibitor, its staff, or contractors

21.3 To the fullest extent permitted by law, the Organiser shall not be liable for any:

🚫 Loss of profits
🚫 Loss of sales
🚫 Loss of opportunity
🚫 Theft
🚫 Damage
🚫 Business interruption
🚫 Consequential loss
🚫 Indirect loss

22. Security & Risk

22.1 Exhibitor Property

All Exhibitor property remains at the Exhibitor’s sole risk at all times, including during:

• Bump-in
• Event hours
• Break periods
• Bump-out

This includes but is not limited to:

✔ Stock and products
✔ Display materials
✔ Equipment and furniture
✔ Personal belongings
✔ POS systems

22.2 Responsibility for Security

Exhibitors are solely responsible for:

✔ Securing their booth
✔ Safeguarding stock and valuables
✔ Monitoring their stand
✔ Protecting cash and transactions

22.3 No Organiser Liability

To the fullest extent permitted by law, the Organiser accepts no responsibility or liability for:

🚫 Loss
🚫 Theft
🚫 Damage
🚫 Misplacement
🚫 Business interruption

Of Exhibitor property.

22.4 Unattended Stands

The Organiser is not responsible for:

🚫 Unattended booths
🚫 Items left overnight
🚫 Items left post bump-out

22.5 Insurance Recommendation

Exhibitors are strongly advised to hold appropriate insurance covering:

✔ Property
✔ Stock
✔ Equipment
✔ Public Liability

22.6 Risk Acknowledgement

Exhibitors acknowledge that participation involves inherent risks associated with:

• Public events
• Crowd environments
• Alcohol service settings
• Venue operations

23. Damage & Reinstatement

23.1 Exhibitors are liable for any loss or damage caused by:

✔ The Exhibitor
✔ Their staff
✔ Contractors
✔ Agents

To:

• Venue property
• Event infrastructure
• Hire equipment
• Other exhibitor property

23.2 The Exhibitor agrees to indemnify the Organiser and/or Venue for reasonable costs associated with:

• Repair
• Cleaning
• Replacement
• Reinstatement

23.3 Damage excludes fair wear and tear arising from normal use.

24. Force Majeure

24.1 The Organiser shall not be liable for failure, delay, modification, disruption, postponement, or cancellation of the Event arising from circumstances beyond reasonable control, including but not limited to:

• Natural disasters
• Extreme weather
• Fire
• Flood
• Pandemic or public health events
• Government orders or restrictions
• Venue unavailability
• Utility failures
• Industrial disputes
• Acts of terrorism
• Civil unrest
• Supplier or contractor failure

24.2 In such circumstances:

🚫 Refunds are not required
✔ Credits may be offered at the Organiser’s sole discretion

24.3 The Organiser reserves the right to:

✔ Postpone
✔ Relocate
✔ Modify
✔ Cancel

The Event as reasonably necessary.

24.4 Where the Event is postponed or rescheduled, Exhibitor bookings will remain valid for the new date.

24.5 The Exhibitor shall have no claim for:

🚫 Compensation
🚫 Damages
🚫 Loss of profits
🚫 Loss of opportunity

Arising from Force Majeure events.

25. Conduct & Removal

25.1 The Organiser reserves the right to refuse entry, restrict activity, or remove an Exhibitor where the Exhibitor, its staff, contractors, or representatives engage in:

🚫 Non-compliance with these Terms & Conditions
🚫 Breach of laws or regulations
🚫 Unsafe practices or behaviour
🚫 Disruptive, offensive, or inappropriate conduct
🚫 Activity that may damage the reputation of the Event
🚫 Failure to follow Organiser or Venue directions

25.2 Removal may occur without prior warning where reasonably necessary.

25.3 In the event of removal:

🚫 No refund
🚫 No credit
🚫 No compensation

Shall be payable.

25.4 The Exhibitor remains liable for:

✔ Outstanding payments
✔ Damage caused
✔ Costs arising from removal

25.5 The Organiser’s decision is final.

26. Marketing & Media Release

26.1 The Exhibitor grants the Organiser the right to use, reproduce, publish, and display:

✔ Logos
✔ Business names
✔ Brand names
✔ Product names
✔ Photographs
✔ Video recordings
✔ Digital images

Captured or supplied in connection with the Event.

26.2 Such materials may be used for:

• Event promotion
• Marketing and advertising
• Media and publicity
• Social media
• Website and digital platforms
• Post-Event communications

Without compensation or further approval.

26.3 The Exhibitor warrants that any materials supplied:

✔ Are accurate
✔ Do not infringe third-party rights
✔ May be lawfully used by the Organiser

26.4 The Exhibitor releases and indemnifies the Organiser from any claims arising from the lawful use of such materials.

27. Replacement Exhibitors

27.1 Where an Exhibitor withdraws, cancels, or defaults, the Organiser reserves the right to:

✔ Reallocate the booth space
✔ Resell the booth space
✔ Retain all monies paid

Without liability, refund, or compensation to the Exhibitor.

27.2 The Organiser is under no obligation to:

🚫 Provide replacement opportunities
🚫 Offer credits
🚫 Prioritise future participation

27.3 Reallocation or resale of booth space does not create any entitlement for the original Exhibitor.

27.4 This clause applies regardless of:

• Timing of withdrawal
• Payment status
• Event proximity

28. Acceptance

28.1 Submission of a booking form, acceptance of an invoice, payment of any fees, or participation in the Event constitutes full and unconditional acceptance of these Terms & Conditions.

28.2 Acceptance applies whether provided:

✔ Expressly
✔ Electronically
✔ In writing
✔ By conduct

28.3 The Exhibitor acknowledges that these Terms & Conditions:

✔ Form a legally binding agreement
✔ Are necessary for participation in the Event

28.4 The Exhibitor warrants that they have:

✔ Read
✔ Understood
✔ Agreed to be bound by

These Terms & Conditions prior to booking or participation.

28.5 Failure by the Exhibitor to review these Terms & Conditions does not affect their enforceability.

28.6 The Exhibitor is responsible for ensuring that its:

✔ Staff
✔ Contractors
✔ Representatives

Are aware of and comply with these Terms & Conditions.

29. Governing Law

29.1 This Agreement shall be governed by and interpreted in accordance with the laws of New South Wales, Australia.

29.2 The Exhibitor irrevocably submits to the exclusive jurisdiction of the courts of New South Wales.

29.3 Any disputes arising in connection with this Agreement shall be subject to the jurisdiction of New South Wales.

29.4 The parties agree that the governing law applies regardless of:

• Exhibitor location
• Event marketing location
• Place of booking

30. Variation of Terms & Conditions

30.1 The Organiser reserves the right to update or modify these Terms & Conditions where reasonably necessary for:

• Legal compliance
• Safety requirements
• Regulatory obligations
• Event operations

30.2 Any updated Terms & Conditions may be notified or published via:

• Official Event website
• Exhibitor communications
• Booking documentation

30.3 For confirmed bookings, the Terms & Conditions applicable at the time of booking shall apply unless amendments are:

✔ Required by law
✔ Necessary for safety or regulatory compliance

30.4 Continued participation in the Event constitutes acceptance of any updated Terms & Conditions.

31. Australian Consumer Law

31.1 Nothing in these Terms & Conditions limits, excludes, or modifies any rights or remedies that cannot be excluded under the Australian Consumer Law (ACL).

31.2 To the extent permitted by law, any liability of the Organiser that cannot be excluded is limited to the minimum extent permitted by law.

32. Copyright & Intellectual Property

All content and materials associated with The Drink Show, including but not limited to text, graphics, logos, branding, designs, layouts, images, floorplans, prospectuses, exhibitor manuals, and other documentation, are the intellectual property of The Drink Show and/or its licensors and are protected under Australian copyright and intellectual property laws.

These materials may not be reproduced, copied, modified, distributed, published, or used in any form without prior written consent, except where permitted by law.
